VERDICT
Quality
A three-brand energy portfolio (CELSIUS, Alani Nu, Rockstar) with ~20% tracked U.S. energy share and a 48–51% gross-margin band — whose reported earnings are currently buried under the cost of moving that portfolio into one distributor's system. Trailing-twelve-month (TTM) revenue $3,047.3M; reported owner earnings $428.0M; normalized owner earnings $880.7M. Owner earnings are defined here as free cash flow after stock-based compensation (SBC).
Moat
PepsiCo's distribution system and the U.S. “Captaincy” (category-management role) are a real moat — shelf space, cold availability, +35% SKUs per store in 2024 — but the moat's landlord is the moat: one counterparty distributes the product, holds the senior capital, and seats two directors.
The price
Normalized owner earnings must decline −1.2%/yr for ten years for today's price to return 10%/yr. On reported owner earnings the bar is +8.8%/yr. The market is not paying for growth; it is paying to find out whether the normalized base is real.
operating cash flow $508.6M − capital expenditures (capex) $45.9M − stock-based compensation (SBC) $34.8M = reported owner earnings $428.0M; + distributor termination $412.7M + acquisition & integration $28.1M + legal settlement accrual $24.6M + inventory step-up $0.8M − PepsiCo reimbursement recognized in earnings ≈$13.5M (derived, ±~$1–2M) = normalized owner earnings ≈$880.7M → decline of −1.2%/yr for ten years at a 10% required return; reported base bar +8.8%/yr

Cash-timing: the termination was almost fully cash-settled in the window and PepsiCo's reimbursement cash ran through the same cash-flow line — ≈$880.7M is earnings power excluding the program, whose gross cash flows largely offset; the DCF section carries the full note.

Management grade
C+ — capped by candor: two dated guidance failures in the calls record (the Feb–May 2024 inventory reassurance before a ~$124M revenue hole; the Aug 6, 2026 withdrawal of the low-50s margin stair-step on the day it was due to begin).
Next print
Q3 2026 — expected Thu Nov 5, 2026, before market open (8:00 a.m. ET webcast pattern). This is an expectation, not company-announced: not yet announced by the company as of Oct 16, 2026; the date is a pattern-based expectation, labeled as such.
Top unverifiable
Whether the $880.7M “normalized” base is earnings power or a label. The largest bridge item — $412.7M of distributor termination fees — was produced by the same PepsiCo distribution system that produces the revenue, and it is the second distribution shock in three years (after the 2024 inventory hole). If distribution transitions keep generating “one-time” costs, the governing base is the reported one and the bar is +8.8%/yr, not −1.2%/yr.
Downside flags

Flag Leverage FLAG — $674.9M of term-loan debt plus $1,760.0M of PepsiCo preferred carrying value stand senior to the common; the preferred pays a cumulative 5% that steps to 8%, then 10%, then 12% if the 2032/2035/2038 holder redemption dates pass with the shares unredeemed.

Flag Moat FLAG — PepsiCo was 60.2% of Q2 2026 revenue and 52.7% of accounts receivable at Jun 30, 2026; Celsius has no second distribution system and the agreements' termination windows open only in 2041 and 2051.

Flag Management FLAG — management assured investors, in its CEO's exact words, that “the balancing has been finalized” (May 7, 2024) one quarter before a ~$124M inventory-optimization revenue hit it had not sized, and withdrew its dated gross-margin stair-step on the day the step was due (Aug 6, 2026).

Step 1: what the price requires — normalized owner earnings may decline −1.2%/yr for a decade (reported: must grow +8.8%/yr). Step 2: what the record supports — a portfolio still growing revenue double digits with the flagship brand's shipments falling −11.7%. Step 3: what would change the read — the Nov 5, 2026 print: core-brand shipments, gross margin, and whether a new “one-time” charge line appears.

Headline

The price assumes Celsius's earnings power slowly shrinks — the argument is whether the $880.7M normalized base is a run-rate or a mirage

The price assumes Celsius's earnings power slowly shrinks. The whole argument is whether the $880.7M normalized base — what's left after a $412.7M distribution divorce that PepsiCo partly funded — is a run-rate or a mirage.

Key debates

Five debates, each with the filing or print that settles it

SpineThe debateBull readBear readSettled by
Priced inIs normalized owner earnings of $880.7M earnings power or a label? The termination program is finished: $410.2M paid against $412.7M expensed, the accrual is down to $8.8M, and PepsiCo's first-pool reimbursement entitlement was $275M ($210.8M cash received by Dec 31, 2025, plus a $64.2M receivable). The expense exceeded that cap by $137.7M; a second pool is inferred from balances, not filed.Distribution “one-offs” are recurring in this system: a ~$124M inventory revenue hole in 2024, then $412.7M of termination fees in 2025–26. The system's frictions are a cost of the moat, not accidents.FY2027 filings — any new distribution-related charge line above $25M in a fiscal year settles it for the bear. First read: Q3 2026 10-Q (expected Nov 5, 2026).
QualityIs the core CELSIUS brand losing share, or is the −11.7% shipment decline self-inflicted sequencing?Tracked retail fell only ~2%; dollars per point of distribution rose +16% sequentially; management cut SKUs before cold-space gains arrived and says so.Innovation was paused during integration, SKU cuts landed instantly, cooler gains lag — and a brand that ships −11.7% while retail falls −2% is repeating 2024's sell-in/sell-through failure, this time by choice.Q3 2026 print (expected Nov 5, 2026): brand net sales vs the −8% pass / −15% fail lines, and whether the shipment-to-retail gap narrows.
QualityDoes gross margin restore to the low-50s, or is the high-40s the plateau?Integration is complete, aluminum conversion is locked, sourcing coverage extends into 2027–28, and price-pack architecture benefits land in 2027–28.The dated stair-step (sidestep in Q2, step up in H2) was withdrawn on Aug 6, 2026 — the day the step was due — and replaced with a high-40s guide tied to diesel and aluminum. The algorithm's benefits keep re-dating.Q3 2026 gross margin vs the 48.0% pass / 46.5% fail lines; full settlement at the Feb 2027 print, when FY2027 margin language is set.
MoatIs PepsiCo a partner or a landlord?A ~17-year amended agreement, termination windows only in 2041/2051, the Captaincy, $275M of transition funding, and a second preferred investment — PepsiCo keeps paying to deepen the tie.PepsiCo is 60.2% of quarterly revenue, 52.7% of receivables, holder of $1,760M of senior preferred and two board seats. Celsius cannot credibly threaten to leave, and PepsiCo's own beverage interests are not Celsius's.Ongoing — no dated resolver. First evidence: any change in PepsiCo's revenue share or the agreements' terms in the Q3 2026 10-Q (expected Nov 5, 2026).

Drivers

Shipments, gross-to-net, margin, and the share count — in that order

Contested driver

1 · Core CELSIUS brand sell-in recovery

Brand net sales fell ~11.7% in Q2 2026 while tracked retail fell ~2%. Everything else in the thesis is arithmetic until shipments and depletions re-align; management has guided Q3 to look much like Q2 and the brand to exit 2026 back in growth — both falsifiable at the next two prints.

2 · Alani Nu scale and gross-to-net normalization

Alani Nu is now ≈47.0% of TTM revenue (≈$1,433.2M). Its reported growth (+21% in Q2 2026) runs far below its retail growth (+56%) because the PepsiCo DSD transition raises trade deductions and billbacks; the spread between the two rates is the integration's remaining cost.

3 · Gross-margin path

48.1% in Q2 2026. Aluminum and diesel are the named headwinds; integration benefits, freight and price-pack architecture are the named offsets, mostly dated 2027–28 by management itself.

4 · Capital return vs. issuance

A $300M repurchase program (Nov 2025) has bought ≈$165.3M of stock program-to-date (at cost, incl. excise tax and commissions; authorization-basis use $164.1M, with $135.9M remaining at Jun 30, 2026) — Q4 2025 ≈$39.8M plus H1 2026 $125.5M at a $31.38 weighted average; the share count fell −1.4% in H1 2026 as buybacks outran equity issuance for the first time.

Kill attempt

The strongest case against the normalized base, answered point by point

  1. The normalized base is a mirage. The $880.7M base exists only after adding back $412.7M of termination fees — the price of leaving Alani Nu's old distributors. Distribution shocks are not exogenous here: the same system produced a ~$124M revenue hole in 2024. A business whose channel keeps billing it for transitions does not have $880.7M of clean earnings power; it has $428.0M and a hope.
Bull answer: The program is measurably over — $410.2M of the $412.7M is already paid, the remaining accrual is $8.8M, and PepsiCo funded the first $275M pool in cash. The 2024 hole was an inventory cycle, not a fee; conflating them overstates recurrence. Concession: if any new distribution charge line >$25M appears in FY2027, the normalized base falls and the reported bar (+8.8%/yr) governs — that is registered as checkpoint 7.
  2. The flagship is shrinking and management chose the sequencing. Brand CELSIUS net sales −11.7% in Q2 2026; management concedes SKU rationalization landed immediately, cold-space gains lagged, and innovation was paused for integration. The growth story now rests on the acquired brand.
Bull answer: Retail demand fell only ~2% and dollars per distribution point rose +16% sequentially — the demand asset is intact; the gap is shipment timing into a DSD network that was simultaneously absorbing two integrations. Concession: “retail only −2%” has been the comforting frame before (2024), and it did not protect reported results then either.
  3. The margin algorithm slips. Low-50s was promised for H2 2026 as a dated stair-step in May 2026; on Aug 6, 2026 the step was replaced with a high-40s guide. Mid-50s in the next handful of years is the remaining promise, undated in any binding way.
Bull concession: Conceded on the fact — the stair-step was withdrawn the day it was due. The bull case rests on the input side (aluminum conversion locked, sourcing into 2027–28), not on management's dating.
  4. PepsiCo is distributor, senior holder, and board presence in one. 60.2% of Q2 2026 revenue; $1,760M of preferred; two designees. If PepsiCo's category strategy shifts, Celsius has no second system to sell through — the 2024 destocking showed exactly how that transmits to reported revenue.
Bull answer: The amended agreements run ~17 years with termination windows only in 2041/2051, and PepsiCo paid $585M more (Series B) in Aug 2025 and funded the Alani transition. Alignment is bought and contractual, not hoped for. Concession: contractual length cuts both ways — it also removes Celsius's exit.
  5. The balance sheet is now mostly 2025 deal paper. Goodwill $919.7M + brands $1,280.2M = $2,199.9M, 42.6% of total assets, from deals priced in 2025 (Alani Nu at <3× revenue; Rockstar from PepsiCo). If Alani Nu's growth normalizes to category rates or the core brand keeps shrinking, impairment — not cash flow — becomes the story.
Bull answer: The brands are indefinite-lived and Alani Nu is still compounding retail sales at +56%; impairment requires a demand failure the scanner data does not yet show. Concession: goodwill of $919.7M against common equity of $1,199.6M leaves little room for a bad deal verdict.
  6. The candor discount is earned, and the CEO owns ~1%. The two dated guidance failures (L1, L12 in the calls ledger) are communication failures, not forecasting noise — management demonstrably could size PepsiCo moves when it chose to (Jun 2024 pre-disclosure landed at the low end of its range). Fieldly held 2,538,581 shares (~1%, mostly options) at Apr 1, 2026.
Bull answer: 2026 behavior turned: insiders net bought +87,495 shares (~$2.40M) in the full Form 4 census, Fieldly sold nothing in 2026 and terminated his selling plan on the day he bought (May 22, 2026). Concession: ~$19M of 2025 plan selling still dwarfs the 2026 buying; one season is a start, not a record.

Bull / bear quotes

What management said, in its own words — kept and broken

🐂“we expect to achieve $50 million of run rate cost synergies over two years post-closing”
John Fieldly, CEO — Aug 7, 2025. Delivered early: synergies captured and integration declared complete on May 7, 2026, ~13 months post-close.
🐂“we should see alignment of the sell-in and sell-through before Q4 ends”
Jarrod Langhans, CFO — Nov 6, 2024. Kept: Q4 2024 PepsiCo impact of $8–10M landed inside the guided range.
🐻“the balancing has been finalized”
John Fieldly, CEO — May 7, 2024, on PepsiCo destocking — one quarter before the ~$124M Q3 2024 optimization hit that the company had not sized.
🐻“we would expect the third quarter to look a lot like the second for brand Celsius”
Jarrod Langhans, CFO — Aug 6, 2026 — guidance for a repeat of a −11.7% core-brand quarter, given with the promise to exit 2026 back in growth.

The business

Three brands, one distributor, 96.5% of revenue in North America

Celsius sells ready-to-drink energy drinks through PepsiCo's direct-store-delivery system in the U.S. and Canada, plus Suntory-led distribution in parts of Europe and Asia-Pacific. Three brands: CELSIUS (the flagship, fitness-positioned; ≈$1,425.4M of TTM revenue, ≈46.8%), Alani Nu (acquired Apr 1, 2025; ≈$1,433.2M TTM, ≈47.0% — the largest brand in the TTM, by a small margin), and Rockstar (acquired from PepsiCo Aug 28, 2025; ≈$188.7M TTM, ≈6.2%). Brand-figure basis: only the Q2 2026 10-Q prints an exact brand net-sales table (Q2/H1 2026 and the 2025 comparatives in it are exact); every earlier 2025 brand figure is a filing's approximate ASC 805 contribution disclosure stated to $0.1M, with CELSIUS shown as the residual — the TTM split is therefore approximate, and it foots to filed TTM revenue by construction (see the dossier's brand-revenue correction file).

North America is $2,939.5M of TTM revenue (96.5%); international is $107.8M (3.5%) — management promised on Aug 6, 2026 that international will exceed 15% of revenue within five years, the longest-dated falsifiable promise in the record. Portfolio tracked U.S. energy share is ~20%.

Every row foots: free cash flow = operating cash flow − capex; owner earnings = free cash flow − SBC. Delivered compounding: revenue +68.2%/yr FY2021→FY2025 (the 2023 PepsiCo ramp, then the Alani Nu consolidation); reported owner earnings +69.7%/yr FY2023→FY2025 — against the priced-in bars below. SBC is 1.1% of TTM revenue — small, and always deducted in the base. One filed quirk, printed rather than smoothed: the Q3 2025 10-Q's three-month net loss to common (−$70.7M) and its nine-month column imply different Q3 figures by $5.4M (a preferred-allocation difference); total net income foots in every period. TTM diluted share count is not presented — weighted averages are not additive and no filing states one.

Guidance record

No formal guidance exists to miss — credibility lives in the operating language, and it failed exactly twice, on the two items that mattered most

Celsius gives no formal revenue guidance — “Historically, we don't provide any forward-looking information” (Fieldly, Feb 26, 2026) — so credibility lives in operating language. The ledger's pattern, in full in the dossier (L1–L16):

DELIVERED — Alani Nu close/funding/deleveraging, the $50M synergy capture (~13 months into a two-year promise), both integration timelines, the Jun 2024 inventory pre-disclosure, the Q4 2024 inventory range, 2025's margin under-promising (47–49% modeled, 51.5% delivered in Q2 2025), the Q4 2025 noisy-quarter warning.

MISSED / SLIPPED — the Feb–May 2024 inventory reassurance before the ~$124M Q3 hole (L1), and the H2 2026 low-50s margin stair-step withdrawn Aug 6, 2026 (L12).

Unverified on file — Alani Nu's promised first-year cash-EPS accretion, asserted Feb 2025 and never scored on any later call.

Open — core brand back to growth exiting 2026; Rockstar growth in 2027; international >15% of revenue by ~2030/31; mid-50s gross margin in the next handful of years.

Balance sheet

Liquid on the debt line alone — but the senior stack is $2,434.8M and 42.6% of assets are 2025 deal paper

Health verdict: liquid and lightly levered on the debt line alone (net debt of $43.6M at carrying value, ex-preferred) — but the senior stack including PepsiCo's preferred is $2,434.8M against $631.2M of cash, and 42.6% of the asset base is goodwill and acquired brands from the 2025 deals. The term loan's margin has been cut twice by refinancing amendments (Oct 2025, Jul 2026) with no prepayment penalty paid — lenders are not the problem. The counterparty is: PepsiCo is owed the preferred, is owed the deferred-revenue relationship ($495.3M of deferred revenue on the balance sheet), and collects 52.7% of receivables.

V6-5 note — haircut sensitivity not triggered: no private/Level-3 mark is deducted in the EV bridge (the Alani Nu earnout, the one Level-3 liability, was paid in Q1 2026 and stands at $0); the acquisition intangibles are carried, not marked, and their risk is impairment, addressed in the kill attempt (point 5).

Reverse discounted cash flow (DCF)

On the normalized base the price needs decline; on the reported base it needs +8.8%/yr — the base is the debate

Method: solve on enterprise value (EV); 10% required return; 10-year window; 2% terminal growth; terminal value = year-10 owner earnings × 12.75 (terminal return on capital fades to the cost of capital; no exit multiple). Base = owner earnings (free cash flow after stock-based compensation), SBC on its own line in the series above.

Cash-timing note (material to the normalized base): reported owner earnings are cash-based; the termination program was almost fully cash-settled inside the window ($410.2M paid of $412.7M expensed) and PepsiCo's reimbursement cash ran through the same operating-cash-flow line — the two largely offset. The ≈$880.7M normalized base is therefore earnings power excluding the program, not a claim that TTM cash generation was unaffected by its gross flows. One drag the normalization deliberately does NOT remove: $6.0M of the Alani Nu earnout paid in Q1 2026 ran through operating cash flow and stays inside reported (and normalized) owner earnings.

Alternative bridge: preferred as-converted at ≈33.3M shares gives EV $8,106.8M — its normalized bar is −2.6%/yr, printed in the table below. The carrying-value bridge governs, deliberately the harder test (higher EV, higher bar): neither series is convertible at the holder's option or redeemable today (first dates Aug 2032, and company conversion then is conditioned on price tests); Series A converts at $25.00 (in the money at $28.16) and Series B at $51.75 (out of the money), and the $1,760.0M in the governing bridge is the preferred's balance-sheet carrying value — not a cash amount payable today. (Bridge components are rounded; the total is computed from unrounded filing figures.)

Required owner-earnings growth, per year for ten years

Normalized bar
−1.2%/yr
Reported bar
+8.8%/yr
Credited bar — conditional on checkpoint 5
−5.9%/yr total

Credited bar (conditional): at a demonstrated shrink of 1.5%/yr (H1 2026 delivered −1.4% in six months), required total normalized owner-earnings growth is −5.9%/yr (per-share solve −4.5%/yr, multiplication-form conversion). The condition is checkpoint 5's two legs, exactly: the credit stands only if Q3 repurchases are ≥ $50M AND the Q3 10-Q cover count is ≤ 253.0M shares; it re-bases to the flat −1.2%/yr if repurchases are < $25M or the count is ≥ 255.0M; between those lines it is suspended pending the Q4 print. The condition is a pace test, re-graded at every print — one quarter cannot prove a decade. Scale check: the remaining authorization ($135.9M) buys ≈4.8M shares (≈1.9% of the count) at $28.16; a decade of 1.5%/yr shrink retires ≈35.5M shares (≈$1.0B at today's price), so the credit assumes the demonstrated pace persists and is re-authorized as needed — it is not funded by the current authorization alone.

Competitive advantage period (CAP): ≈0 years — at +10%/yr normalized owner-earnings growth the price is reached immediately; the market prices no growth period at all on the normalized base. On the reported base the CAP at the delivered FY2023→FY2025 owner-earnings rate is not meaningful (deal arithmetic); not printed.

Base rate: sustained double-digit owner-earnings growth for a decade is rare in U.S. beverages; Celsius's own delivered compounding is distribution-step-change arithmetic (PepsiCo ramp 2023; Alani Nu consolidation 2025), not a steady-state rate. The normalized bar (−1.2%/yr) sits below any delivered window; the reported bar (+8.8%/yr) sits below the deal windows and above the organic ones. The price is a referendum on which base is real.

What you must believe — breakeven grid, $/share

Revenue compounding (rows) × year-10 owner-earnings margin on revenue (columns); owner-earnings margin ramps linearly from today's reported 14.0%; cells at or above the $28.16 price are filled. The price is earned at ~5%/yr revenue growth with a 20% year-10 owner-earnings margin — below today's normalized margin of 28.9%, above today's reported 14.0%. The grid is the debate in one exhibit: believe the margin normalizes toward the normalized base and the price is undemanding; believe reported margins are the truth and you must believe in high-single-digit revenue compounding for a decade.

Distribution and shelf are answered; independence is the flag

Distribution scale Answered

PepsiCo's DSD system carries all three brands in the U.S. and Canada; all-commodity volume (ACV) above 98%; SKUs per store +35% in 2024; the Captaincy formalized Aug 2025.

Shelf & cold presence Answered

Distribution points +37% in 2024 to >241,000 U.S. outlets; CELSIUS shelf space +17% and Alani Nu shelf space up triple digits in the Feb 2026 reset account.

Portfolio breadth Contested

Three brands across three positionings is new (2025); whether Rockstar (historically declining) and Alani Nu hold share outside their launch windows is unproven past two quarters.

Pricing power Thin

Promotional intensity rose through 2026 (trade investment is a named cause of both the core brand's shipment decline and Alani Nu's gross-to-net drag); price-pack architecture is a 2027–28 promise, not a record.

Counterparty independence Flag

One distributor for ~60% of revenue, who is also the senior holder and a board presence; no second system exists.

International Thin

3.5% of TTM revenue; launches have been delivered on sequence (Canada, UK/Ireland, Australia/NZ, France, Spain) but the >15%-of-revenue-by-~2030 promise is rhetoric until the dollars move.

People: John Fieldly, CEO since Apr 2018 (CFO from 2012), Chairman since 2021. Jarrod Langhans, CFO since Apr 2022. Eric Hanson, hired Mar 2025 as President & COO — the first succession layer of the tenure — departed Aug 10, 2026 (8-K); Tyler Bohannon became Chief Commercial Officer effective Aug 10, 2026; Tony Guilfoyle's appointment as Chief Business Transformation Officer was effective Jul 1, 2026 (both announced in the same Aug 10, 2026 8-K).

Capital allocation (B−): the 2022 PepsiCo Series A ($550M at a $25.00 post-split conversion price, with distribution attached) was the tenure's best deal. Alani Nu ($2,055.6M total consideration; goodwill $731.8M) was price-disciplined against its 2024 revenue (<3×) but levered the balance sheet and made the story an integration story; Rockstar was a $585M cash-out exactly offset by PepsiCo's Series B purchase — net cash ≈ zero for a declining brand plus deeper dependence. Deleveraging was delivered ($900M drawn → $694.8M principal). The Nov 2025 $300M buyback has been executed into weakness — Q4 2025 ≈$39.8M plus H1 2026 $125.5M at a $31.38 weighted average, ≈$165.3M program-to-date — bought the drawdown, currently ~10% underwater on the average print, pace accelerating (Q2 2026: $101.4M). The Oct 13 scorecard's “buybacks: essentially none” is superseded by this record (see Corrections).

Guidance credibility (C+): no formal guidance exists to miss — itself a choice that shifts risk to the reader. Against the language that does exist: deal mechanics and timelines were delivered (ledger L6, L7, L14); the two failures were the two that mattered most (L1 inventory reassurance; L12 margin stair-step). The 2024 internal incentive plan paid 17% of target on its financial component — management's own scorecard for that year.

Execution (B−): built $75.1M (2019) to $2,515.3M (2025) of revenue; Alani Nu closed on schedule, integrated in ~13 months, synergies captured; Rockstar integrated in nine months. Debits: the 2026 core-brand sequencing was self-inflicted by management's own account, and the COO hired to run operations left after 17 months.

Candor (C+): asymmetric — margin guidance was the credible half of the record (beaten in H1 2024, under-promised through 2025, an accurate noisy-quarter warning for Q4 2025); counterparty commentary was the failing half (reassurance in Feb–May 2024, a deflection on Alani Nu distribution costs in Feb 2025 nine months before the $412.7M charge, whose existence — though partly PepsiCo-funded under a $275M first-pool entitlement — was not sized for investors in advance).

Alignment (C+): Fieldly ~1% ownership (mostly options); 2025 pay $9,607,616 with performance stock units (PSUs) on 3-year cumulative revenue (50%) and relative TSR (50%); say-on-pay 97.1% in 2026. Form 4 census 2026: insiders net bought +87,495 shares (~$2.40M) in two clusters at ~$29 (May) and ~$27.4–28.0 (Sep); Fieldly sold nothing in 2026 and terminated his 10b5-1 selling plan on May 22, 2026, the day of his May purchase; the only code-S sale all year was a director's 2,880 shares sold to pay RSU-vesting tax. Against that: ~$19M of Fieldly plan selling in summer 2025, and legacy DeSantis/Milmoe holders continue to settle prepaid variable forwards — the founding holders are monetizing, not adding.

The ledger, scored: PASS Alani Nu close, funding and deleveraging (L6) · PASS $50M synergies captured ~13 months into a two-year promise (L7) · PASS both integration timelines (L14) · PASS Jun 2024 inventory pre-disclosure (L2) · PASS Q4 2024 inventory range (L3) · PASS 2025 margin under-promising (L10) · PASS Q4 2025 noisy-quarter warning (L11) · FAIL Feb–May 2024 inventory reassurance before the ~$124M Q3 hole (L1) · FAIL H2 2026 low-50s margin stair-step withdrawn Aug 6, 2026 (L12).

Investor day: none in the last 24 months — verified negative across all 12 calls on file (the May 2025 Alani Nu modeling call was a deal call, not a capital markets day). No CMD targets exist to score.

Downside checklist · Veto gate

Four flags stay lit; only valuation passes

Leverage Flag

Senior claims of $2,434.8M (term loan carrying $674.9M + preferred carrying $1,760.0M) against $631.2M cash; the preferred's cumulative dividend steps 5% → 8% → 10% → 12% across the 2032/2035/2038 redemption dates if unredeemed. Debt service is covered today (TTM operating cash flow $508.6M); the fuse is the preferred's escalation, held by the distributor.

Moat Flag

The moat is rented from its largest threat: PepsiCo decides inventory levels (“we don't control the inventory levels” — Fieldly, May 7, 2024), and its 2024 optimization removed ~$124M of quarterly revenue without Celsius's consent or foresight.

Valuation Pass

On the normalized base the price embeds decline (−1.2%/yr); on the reported base it embeds +8.8%/yr — demanding but inside the company's demonstrated range in distribution step-change years. No perfection is priced on either base.

Management Flag

The two dated communication failures (L1, L12) plus a ~1%-owning CEO and a departed COO keep the veto gate lit until the print record rebuilds.

Bias Flag

The scanner-vs-shipment framing trap is documented in this company's own releases (2024 retail +22% while shipments fell): a reader anchoring on tracked retail sales will systematically overstate the health of reported results — in both directions, as Q2 2026's Alani Nu gross-to-net gap shows.

Checkpoints · Q3 2026 print

Nine lines, set before the print — the first one is decisive

Grading convention: an outcome between a checkpoint's PASS and FAIL lines is MIXED — neither passed nor failed — and the item is re-graded at the following print. Checkpoint 1's MIXED zone is the guided outcome itself (a Q3 much like Q2's −11.7%): the decisive line grades the trajectory against guidance — PASS requires beating it, FAIL requires missing it.

Q3 2026 print (expected Thu Nov 5, 2026, BMO; date not yet company-announced — if the announced date differs, the set grades at that print).

1 · Core CELSIUS brand net sales, YoY Decisive

PASS ≥ −8% · FAIL ≤ −15%. (Q2 2026: −11.7%; management guided Q3 to look much like Q2, with DSD rebalancing ending in July — the line grades the trajectory, per V5-7 the outcome itself, not a correlate.)

2 · Gross margin

PASS ≥ 48.0% · FAIL < 46.5%. (Guide given Aug 6, 2026: consistent with Q2, in the high-40s; Q2 printed 48.1%.)

3 · Alani Nu net sales

PASS ≥ $360M · FAIL < $330M. (Q2 2026: $364.4M.)

4 · Total revenue

PASS ≥ $800M · FAIL < $750M. (Q2 2026: $817.9M; Q3 2025: $725.1M.)

5 · Buyback / count (governs the conditional credit)

PASS repurchases ≥ $50M in Q3 AND the Q3 10-Q cover count ≤ 253.0M shares → the conditional credited bar (−5.9%/yr at 1.5% shrink) stands. FAIL repurchases < $25M OR cover count ≥ 255.0M → credited bar re-bases to the flat −1.2%/yr. Between the lines = MIXED: the credit is suspended, neither standing nor re-based, until the Q4 print.

6 · SBC discipline

PASS SBC ≤ 1.5% of Q3 revenue · FAIL > 2.0%. (TTM: 1.1%.)

7 · New one-offs (binary falsifier of the normalized base)

PASS no new distribution/termination/integration charge line above $25M in Q3 · FAIL any such line above $25M.

8 · Margin language (binary)

PASS the low-50s gross-margin return is reaffirmed with a 2027 date or better · FAIL it is re-dated past 2027 or dropped (the L12 pattern). A PASS here is void if checkpoint 2 fails — language cannot outrun the margin it describes.

9 · Rockstar net sales

PASS ≥ $60M · FAIL < $45M. (Q2 2026: $66.5M; 2026 is management's stated stabilization year.)

No legal binary is registered: the accrued-legal balance ($64.1M at Dec 31, 2025, of which $59.5M related to the Strong Arm Productions litigation) is a watch item, not a checkpoint — no dated court event in the window is in the filed record.

Corrections

First edition — two corrections against the desk's prior CELH record

1 · Oct 13, 2026 management scorecard — “buybacks: essentially none… no attempt to exploit the drawdown”: superseded. The $300M program (Nov 2025) post-dates the cash-flow lines the scorecard cited; program execution is ≈$165.3M program-to-date — Q4 2025 ≈$39.8M plus H1 2026 $125.5M at a $31.38 weighted average (filings workstream + re-verification, Oct 16, 2026).

2 · Price basis: scorecard reference $28.39 (Oct 12, 2026 close) → this dive prices on $28.16 (Oct 15, 2026 close). No figure from the scorecard is carried without a filing behind it in the dossier.

Gaps

What the filed record does not establish — stated, not smoothed

  • Transcript basis: the 12 calls on file are transcript notes cross-checked against full-text sources (IR/Q4 CDN, MarketBeat, Insider Monkey, AlphaStreet, Motley Fool); only the strings the notes flag as exact quotes are quoted verbatim on the page (12-quote string-match set in calls-record.md). All other call language is paraphrased and is not placed in quotation marks.
  • PepsiCo % of North America revenue is not disclosed (filings state % of total revenue); not estimated.
  • Q4 2025 diluted weighted-average shares are not disclosed in any filing; no TTM diluted count is presented.
  • Alani Nu standalone net income is stated by the 10-K to be impracticable to produce post-integration; deal ROIC cannot yet be computed from filings. Goodwill of $919.7M is the watch number.
  • Second PepsiCo reimbursement pool (Q2 2026): inferred from the deferred-revenue balance jump ($428.1M → $495.3M) and the Canadian transition agreement's commitments; its cap and cash received are not pinned to a note. Total PepsiCo cash received is stated only as: at least the first pool's $275.0M entitlement ($210.8M cash + $64.2M receivable at Dec 31, 2025).
  • PepsiCo reimbursement recognized in H1 2026 earnings (≈$8.4M of the ≈$13.5M TTM figure) is derived from filed balances and the ~17-year straight-line term, ±~$1–2M.
  • Cash-EPS accretion from Alani Nu (promised for year one, Feb 2025) is unverified on the filed record.

Completeness note

Completeness note

This page was built from the primary record in the dossier: the filed financials and accession-cited actuals, the 12-quarter calls record, the Form 4 / proxy / buyback re-verification of Oct 16, 2026, and the reverse-DCF results file.

Transcript basis and the verbatim-quote rule are as stated in the Gaps section: the 12 calls on file are transcript notes cross-checked against full-text sources, and only the strings the notes flag as exact quotes are quoted verbatim on the page; all other call language is paraphrased and is not placed in quotation marks.

The redundancy pass was performed: supporting sections cross-reference the exhibits rather than re-arguing them; the verdict box and section leads restate headline figures by design.
